Subscription terms
1. Who we are
DiveOps ("we", "us"), United Kingdom. Contact: support@diveops.ai.
These terms are between us and the business that subscribes ("you", "your centre"). They are for businesses only, not consumers.
2. What you get
A subscription to DiveOps for your centre: the dashboard, your booking pages, the WhatsApp assistant and the other features included in your plan. Your plan, with each item and its price, is shown on your signup page and in Settings → Billing.
3. Your plan and price
- Your plan is made up of the items shown to you, each with a quantity and a price. The total is what you pay each month (or each year, if your plan is yearly).
- Prices are in the currency shown on your plan.
- Prices do not include VAT. We are not currently registered for VAT. If that changes, we will give you at least 30 days' notice before we add it.
- A setup fee, if your plan has one, is charged once, with your first charge.
4. How and when you pay
When you agree to these terms you save a card with our payment provider, Stripe. You authorise us to charge that card, without asking each time, for:
- Your plan, automatically on your charge day. The first charge date is shown on your signup page. After that you are charged on the same day each month (or year). If that day doesn't exist in a month, you are charged on the last day of that month.
- The platform fee, if it applies to you: our agreed fee on your online bookings, added to your next charge each month for the month before.
- One-off charges we have agreed with you in advance, for example equipment we supply. We will always agree these with you before charging.
You get an email receipt for every charge, and every charge also appears in your centre's expenses in DiveOps. You can update your card at any time in Settings → Billing.
5. Price changes
We will give you at least 30 days' notice by email before any change to your price. If you do not want to continue at the new price, you can cancel before it takes effect.
6. If a payment fails
- We tell you by email and retry automatically over about two weeks. You can update your card at any time.
- If the payment still cannot be taken, your access to DiveOps (the dashboard, booking pages and WhatsApp assistant) is paused until the overdue amount is paid. Your data is kept.
- As soon as the overdue amount is paid, your access switches back on automatically.
7. Cancelling
- You can cancel at any time by emailing support@diveops.ai or using Cancel subscription in Settings → Billing.
- We may ask for a short call to understand why and see if we can put things right. You never have to take the call to cancel.
- Cancellation takes effect at the end of your current billing period. You keep access until then and are not charged again.
- We do not refund part periods. Platform fees for bookings taken before the end date are still due.
8. Refunds
If we charge you by mistake, we refund it in full. Otherwise payments are not refundable, except where the law says otherwise.
9. Your data
- Your centre's data (customers, bookings, messages and so on) belongs to you.
- If your subscription ends, you can ask us for an export of your data within 30 days. After that we delete or anonymise it as set out in our privacy policy, except where we must keep records by law.
10. Our service
- We work hard to keep DiveOps available and working as described, and we fix problems as quickly as we can. Sometimes we need planned maintenance; we try to do it at quiet times.
- Parts of DiveOps rely on other companies (for example Stripe for payments and Meta for WhatsApp). We are not responsible for their outages, but we will help you work around them where we can.
11. Our liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow us to limit.
- Otherwise, our total liability to you in any 12 months is limited to the amount you paid us in those 12 months.
- We are not liable for indirect losses, such as lost profit, lost bookings or lost data that could have been avoided with reasonable backups.
12. If we need to pause or end your subscription
We may pause or end your subscription if you seriously break these terms (for example, misuse of the service or payments that remain unpaid after section 6). Except in urgent cases, we will tell you first and give you a chance to put it right.
13. Changes to these terms
We may update these terms. We will email you at least 30 days before a change that affects you, and the version date at the top will change.
14. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales deal with any dispute.
